  • “Company,” “PBS,” “we,” “us,” or “our” refers to Panthak Business Solutions, registered in Ahmedabad, headquartered in Pune, Maharashtra, with global operational engagement standards in all its business transactions.
  • “You,” “User,” or “Client” refers to any individual, business entity, or organization accessing or using our website or services, and is bound by these terms after any form of engagement, contract, or communication with PBS.
  • “Services” refers to all offerings provided by PBS, including but not limited to management consulting, software solutions, digital marketing, HR services, financial services, business strategy consulting, and any other customized solutions delivered under formal engagement.
  • “Handover,” for the purposes of transitions and project completion, refers to the formal transfer of managed assets, deliverables, or operational custody from PBS to the client in accordance with pre-determined parameters as mutually agreed in writing, including all associated protocols, financial settlements, and documentation.

By using this website, you agree to the following conditions:

  • You will not, directly or indirectly, engage in any activity that disrupts the website, affects system performance, or compromises server integrity.
  • You will not copy, modify, share, or republish any content from this platform without formal written authorization by PBS, in accordance with relevant intellectual property regulations.
  • You may not use this site for any unlawful, unethical, unauthorized, or prohibited purpose, including actions that may damage the company’s reputation, system functionality, or legal compliance.

  • All services and resources are provided strictly on an “as is” and “as available” basis, and the client assumes all risk associated with such use, including technological or environmental factors that may be outside PBS’s control.
  • PBS does not guarantee explicit, implied, or specific outcomes, results, or direct business achievements, as project success is influenced by variable external factors such as user involvement, prevailing market conditions, regulatory requirements, and timely collaboration from all participating parties.
  • The company reserves, at its sole discretion, the right to review, alter, suspend, revise, or discontinue any service, offering, or process, in whole or in part, without prior notification and without liability to any user for such changes.
  • Upon the conclusion of any service or project involving asset management, it is expressly understood that finalization, settlement, and handover procedures will be subject to all financial, legal, technical, and operational requirements as outlined in respective agreements and formal communication leading up to the transfer.

5. Limitation of Liability

To the fullest extent permitted by law, PBS shall not be liable for any indirect, incidental, consequential, or special damages arising from:

  • Use of or inability to use our website, products, or services, including incompatibility or configuration issues resulting from third-party software or hardware.
  • Unauthorized access to personal or business data caused by malicious activity, circumvention of digital safeguards, or due to client-side negligence.
  • Errors, inaccuracies, or omissions in published content or communications, regardless of the source or intent.
  • Delays, interruptions, or obstructions in project delivery, hosting, transactional processes, or operational support, resulting from unforeseen events or third-party failures.
  • Consequential actions arising from non-adherence to closure or exit obligations by the client, including but not limited to the non-remittance of asset handover or settlement fees, data or deliverable forfeiture, or any recourse measures implemented by PBS in response to such breaches.

6. Payment Terms

All service fees are outlined in our project proposals, service agreements, or invoices. By engaging our services, clients irrevocably agree to the following:

  • Payments must be made strictly as per the agreed billing schedules, project phases, or milestone definitions, and delays may affect project timelines and access to deliverables.
  • Any custom consulting, bespoke software, or tailored solution work is non-refundable barring exceptional circumstances explicitly stated in the engagement documentation, and assessed solely at PBS’s discretion.
  • Overdue account settlements or late payments may incur interest, administrative charges, or, in certain cases, partial or complete suspension of service, as deemed necessary by PBS for business continuity and risk mitigation.
  • PBS retains the right to withhold, delay, or restrict access to deliverables, assets, or operational information until such time as all outstanding dues, including contractual closure fees, are settled in accordance with the stated agreement.
  • Where the project involves long-term asset management, operational control, or transitional custody, clients acknowledge and accept that handover at the end of the engagement period is subject to a separate, time-linked handover fee. The quantum of this fee shall be calculated in proportion to the management period, project complexity, and applicable regulatory norms, and detailed in the final settlement documentation.
  • Non-payment of handover fees by the stipulated deadline will result in a daily penalty (inclusive of statutory taxes and fees) until the outstanding obligation is fully satisfied, with sustained unresolved default resulting in enforcement of asset seizure, access restrictions, or, after a further thirty days, permanent deletion. The client accepts that legal remedies may be initiated by PBS for any continued non-compliance, with all external, third-party, or legal costs to be borne exclusively by the client.

7. Handover Procedures and Asset Custody

Following project culmination and in the ordinary course of organizational transfer, asset, or data reconciliation:

  • The client is required to promptly respond to all communications, provide necessary documentation, and actively participate in coordination activities required for smooth handover, minimizing delay and operational disruption.
  • It is the sole responsibility of the client to ensure timely payment of all fees related to transition, closure, or final transfer of assets, consistent with the terms agreed, and any extension required must be formally requested, reviewed, and approved in writing by PBS.
  • Any delay, dispute, or default related to handover procedures, particularly with respect to unpaid handover fees, may be addressed by PBS through the imposition of daily penalties, enforcement of technical or administrative measures, suspension of access privileges, or disposition of managed assets, in consonance with prevailing contract law and dispute resolution mechanisms.
  • Where necessary, PBS is empowered to refer such matters to the appropriate legal forum, pursue financial recovery, and execute any further actions deemed appropriate for the protection of its proprietary interests, with all financial obligations and external costs in such circumstances falling solely upon the client.

  • Responsibility for evaluating, engaging, and abiding by external service providers, vendors, or affiliates rests entirely with the client, and any liabilities, damages, or disputes arising from such third-party dealings will not be assumed, mediated, or arbitrated by PBS.

9. Modifications to Terms

We may amend these Terms & Conditions at any time without prior notice. All substantive changes will be posted on this page with the “Effective Date” updated accordingly.

  • Continued use of our website, correspondence with business representatives, or reliance on our services following any update will be considered conclusive acceptance of the revised terms.

10. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India, without regard to its conflict of laws principles, and any disputes, claims, or differences will be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, unless otherwise mutually agreed in writing.
